SYDNEY: BCAL Diagnostics Ltd., an Australian healthcare company focused on early cancer detection, announced Thursday it has acquired a 10.2% stake in Genetic Signatures Ltd., a molecular diagnostics firm specializing in infectious disease testing. The all-cash transaction is valued at approximately $1.39 million.
Under the agreement, BCAL purchased 23,173,644 shares of Genetic Signatures at 6.0 cents per share. The deal positions BCAL to leverage Genetic Signatures’ established commercial operations, regulatory expertise and international market access across Asia Pacific, Europe, the Middle East, Africa and the United States.
Strategic Complement in Diagnostics
BCAL, listed on the Australian Securities Exchange under the ticker BDX, said the investment aligns with its strategy to expand beyond oncology into infectious disease diagnostics. The company currently markets breast cancer and liquid biopsy tests, including BREASTESTPlus™ 2.0 and Avantect™ products for pancreatic and ovarian cancer.
Genetic Signatures, which trades as GSS on the ASX, has developed the EasyScreen™ brand of real-time PCR-based tests for routine infectious disease detection. The company has received U.S. Food and Drug Administration 510(k) clearance for its gastrointestinal parasite detection kit and automated workflow, a milestone that BCAL cited as a key asset.
“This is a great way for BCAL to establish a strategic position in a complementary diagnostics company with existing infrastructure, international market access channels and the potential to support broader growth opportunities over time,” said Anne-Louise Arnett, CEO of BCAL, in a prepared statement.
Regulatory and Commercial Infrastructure
BCAL said it values Genetic Signatures’ validated manufacturing capabilities for CE-IVD and FDA-cleared products, as well as its laboratory, distribution and technical support networks. The company believes these resources could support broader commercialization opportunities for its own portfolio in the future.
Genetic Signatures has active paying customers in Australia, the U.K. and the U.S., and maintains proprietary platform technology known as 3base®. Its products are used in hospitals and pathology laboratories to screen for a wide range of infectious pathogens.
“Genetic Signatures gives BCAL exposure to an additional diagnostics pillar in infectious disease, while supporting our broader strategy to build a stronger diagnostics platform across cancer and molecular testing,” said Jayne Shaw, chair of BCAL. “We see many ways to work together for the benefit of both companies.”
BCAL is headquartered in Sydney and holds exclusive licenses for the sale and distribution of Avantect cancer blood tests in Australia and New Zealand. Genetic Signatures remains an independent, revenue-generating company with operations in multiple international markets.
