PureTech Health plans U.S. listing on Nasdaq Global Market

LONDON: PureTech Health plc has filed a public Registration Statement on Form 20-F to the United States Securities and Exchange Commission (SEC) in conjunction with a potential listing of American Depository Shares (ADSs) on the Nasdaq Stock Market.

The U.S. Listing is expected to take place after the SEC and Nasdaq have completed their review process and upon effectiveness of the registration statement.

In light of the Company’s strong cash position, the U.S. Listing will not include the issuance or offering of any shares of the Company. Following the U.S. Listing, the Company’s ADSs will trade on the Nasdaq Global Market, providing access for those investors who prefer U.S. listed stock.

The Company intends to maintain its premium listing on the Official List of the UK Financial Conduct Authority and trading on the main market of the London Stock Exchange in addition to the potential U.S. listing.

The Company’s shares will continue to trade on the London Stock Exchange and be registered with their existing ISIN number GB00BY2Z0H74 and the Company’s ticker symbol in the UK will continue to be PRTC.
