WARSAW: DP Poland, the operator of Domino’s Pizza stores in Poland and Croatia, has acquired Pizzeria 105, a franchised quick-service pizza chain with 90 locations across Poland, for 42.3 million Polish złoty (about £8.5 million). 

The seller, Marcin Ciesielski, will reinvest one-third of the proceeds—approximately 13.4 million złoty (£2.7 million)—into DP Poland by purchasing 23.6 million new shares at 11.4 pence per share. 

Nils Gornall, CEO of DP Poland, said the acquisition accelerates the company’s plan to reach 200 Domino’s stores in Poland by 2027, with potential for over 500 locations long-term. The deal also shifts the company toward a franchise-heavy model, with more than half of its stores expected to be franchised after completion. 

Pizzeria 105, Poland’s fourth-largest pizza brand, is fully franchised and profitable, with annual system sales of 153.8 million złoty (£30.8 million) in 2024. The acquisition adds 76 franchisees and expands Domino’s reach into 31 new Polish cities. 

DP Poland, which raised £20.5 million in April 2024 to fund growth, aims to rebrand most Pizzeria 105 locations to Domino’s, backed by an estimated investment of 13.1 million złoty (£2.6 million). The company expects the deal to be immediately earnings-enhancing, with cost synergies of around 3 million złoty (£0.6 million) annually from 2026. 

Following the acquisition, DP Poland expects to operate about 150 stores by year-end and 190 by the end of 2026. 

Pizzeria 105, based in Busko Zdroj, reported revenue of 8.5 million złoty (£1.7 million) and earnings before interest, taxes, depreciation and amortization (EBITDA) of 5 million złoty (£1 million) in 2024. 

Gornall said the deal strengthens Domino’s position in Poland’s fragmented pizza market, offering franchisees access to Domino’s digital platforms and marketing support.
