Immobel launches a public offer of green notes in Belgium

BRUSSELS, BELGIUM: Immobel SA/NV on Thursday 28 October 2021 will launch a public offer in Belgium of 6.5-year green notes for an aggregate minimum nominal amount of EUR 75 million and an aggregate maximum nominal amount of EUR 125 million.

The Green Notes will be offered both to retail investors and, to a certain extent, also to qualified investors. Upon issue, the Notes will be listed on the regulated market of Euronext Brussels.

The Notes will be issued on the basis of the base prospectus dated 1 June 2021 as supplemented by a supplement dated 19 October 2021 in relation to Immobel’s EUR 325 million Euro Medium Term Note (EMTN) programme.

The net proceeds of the Notes will be used by Immobel to finance or refinance exclusively, in whole or in part, assets, projects and activities which contribute to Immobel’s ESG strategy in accordance with the eligibility criteria set out in Immobel’s Green Finance Framework. The net proceeds of the Notes are expected to amount to EUR 74.9 million after deduction of the costs and expenses (in case the aggregate nominal amount for which Notes are issued is EUR 75,000,000 EUR) or EUR 124.9 million after deduction of the costs and expenses (in case the aggregate nominal amount for which notes are issued is EUR 125,000,000).

The Notes will be governed by Belgian law and will be redeemable at 100% of their nominal amount on the maturity date, namely 12 May 2028.
