OSLO, NORWAY: Arribatec Group ASA announced the completion of the acquisition of Integra Associates, a global elite partner of Unit4, to create the world’s largest provider of Unit 4 ERP services and solutions.
Reference is made to the stock exchange notice 4 May 2021 regarding the letter of intent to acquire Integra Associates. Integra is UK’s longest-standing Unit4 partner and has helped organizations improve key business processes through industry leading solutions and services. The company, a global elite partner of Unit4 and the 2020 global service partner of the year, has offices in Leicester and Manchester, UK, and consists of a team of 45 highly competent resources.
The acquisition will be settled on the terms set out in the 4 May 2021 announcement: GBP 1.125 million in cash plus the issuance of 2,045,000 new shares in Arribatec, as well as an earn-out element.
Arribatec will register the new share capital with the Norwegian Register of Business Enterprises and issue a separate announcement when the registration of the share capital increase is completed.
Reference is further made to the stock exchange notice by the company on 10 February 2021 regarding the potential acquisition of the four software companies from Spanish based Grupo Hodei. The company has decided not to pursue this acquisition and will not complete an acquisition of the Grupo Hodei companies.
