SYDNEY: Genetic Signatures Limited and Microba Life Sciences Limited are in preliminary discussions about a potential merger that would create a leading infectious disease diagnostics group, the companies announced Wednesday.
The proposed combination would unite Genetic Signatures’ regulatory-approved infectious disease panels with Microba’s microbiome profiling technology, offering a full spectrum of diagnostic testing from rapid pathogen detection to advanced microbiome analysis.
On a pro forma basis, the merged entity would report fiscal year 2026 revenue of approximately A$29 million and hold combined cash and term deposits of roughly A$30 million as of June 30, 2026, according to the announcement.
“The proposed combined group offers synergies and the opportunity to scale,” said Caroline Waldron, chair of Genetic Signatures. “As we progress discussions on the proposed transaction our focus will be on delivering value to our shareholders.”
The companies said a merger would provide broader access to major pathology networks, establish a more sustainable financial structure, and expand both domestic and international market reach. Genetic Signatures counts laboratory and hospital customers across Australia, the United Kingdom and Europe, while Microba maintains distribution relationships with Sonic Healthcare and SYNLAB.
“A merger would create a leader in microbiome and infectious disease diagnostics, with broader revenue and customer bases, and a materially stronger balance sheet,” said Pasquale Rombola, chair of Microba.
Genetic Signatures is being advised by AE Advisors and Gadens, while Microba is working with Latimer Partners and Thomson.
The companies cautioned that discussions remain at an early stage, incomplete and non-binding. Any transaction would require further due diligence and regulatory approvals, including from the Australian Securities Exchange. There is no certainty that an agreement will be reached.
Genetic Signatures Limited, listed on the ASX under the symbol GSS, develops molecular diagnostics products using its proprietary 3base platform technology. Microba Life Sciences Limited, trading as MAP on the ASX since April 2022, focuses on precision microbiome testing and therapeutics.
