
SYDNEY: Australian cybersecurity firm archTIS Ltd. (ASX:AR9) announced Wednesday it will acquire the technology, customer base, and employees of U.S.-based data security provider Spirion LLC in a $15.7 million AUD deal, marking a major step in its U.S. expansion strategy.
The acquisition, priced at 0.9x Spirion’s FY25 annual recurring revenue (ARR), will boost archTIS’ pro-forma ARR to A$21.8 million. Spirion’s 150+ enterprise, education, and government clients will be integrated into archTIS’ portfolio, creating immediate cross-sell opportunities and diversifying revenue streams.
“This is a transformational acquisition that brings scale, talent, and proven technology to our U.S. operations,” said archTIS CEO Daniel Lai. “Together, we’re building a Zero Trust data-centric security platform that protects sensitive information from the boardroom to the battlefield.”
The deal includes the transfer of 38 Spirion employees, including senior executives, and will be funded through a $20.5 million capital raise comprising a $3.5 million placement and a fully underwritten entitlement offer. Spirion CEO Kevin Coppins will join archTIS as EVP of Commercial Enterprise Solutions.
Spirion’s advanced data discovery and classification tools will be integrated with archTIS’ attribute-based access control (ABAC) products, enhancing compliance and enforcement capabilities across Microsoft 365, SharePoint, and other collaboration platforms.
The acquisition is expected to close by September 30, 2025, pending regulatory approvals and shareholder consent.
