
LONDON: Audioboom Group PLC (AIM: BOOM), a global podcast leader, announced Wednesday it will acquire British podcast network Adelicious Ltd for up to £10.0 million ($12.9 million), aiming to create the UK’s second-largest podcast network.
The all-share transaction includes £4.5 million in initial consideration (60% cash, 40% shares), up to £3.0 million in deferred payments tied to 2025 revenue targets, and £2.5 million contingent on performance of Adelicious’ “Sh**ged.
Married. Annoyed.” podcast. Audioboom will part-finance the deal through a £3.0 million share placing at 270 pence per share—a 3.9% discount to Tuesday’s closing price.
Adelicious, the UK’s fourth-largest independent podcast network, hosts 50 shows including “Football’s Greatest with Jeff Stelling” and “Russell Howard’s Five Brilliant Things,” generating 20 million monthly downloads. The acquisition accelerates Audioboom’s strategy to consolidate the fragmented podcast market, projecting immediate earnings growth and $240 million revenue by 2030.
CEO Stuart Last called Adelicious “best-in-class,” noting Audioboom’s technology will “supercharge their growth.” Adelicious President Andrew Goldsmith said the merger enables global expansion for British podcasting.
Integration begins immediately, with Adelicious’ content joining Audioboom’s ad platform within 30 days. Cavendish Capital Markets advised on the deal.
