FAREHAM: Defense technology company Chemring Group PLC announced Monday the conditional acquisition of Landguard Nexus Limited and its subsidiaries in a deal worth up to £20 million ($25.4 million).
The acquisition, pending approval under the U.K. National Investment and Security Act, aims to expand the capabilities of Chemring’s Roke business, a specialist in cyber and electromagnetic activities.
Landguard, based in Fareham, Hampshire, develops software-defined radio systems and security products for defense, government and law enforcement agencies. Its high-performance tracking and communication technologies are used across satellite, cellular and radio frequency networks.
The deal includes an initial £14 million cash payment, with an additional £6 million in earnouts tied to performance targets. Landguard reported approximately £7 million in revenue for the year ending Jan. 31, 2025. The acquisition is expected to slightly boost Chemring’s earnings by October 2026.
Landguard’s 30 engineers, intellectual property and customer relationships will integrate with Roke, while its current owner-managers will remain with Chemring post-acquisition.
Michael Ord, Chemring’s CEO, said the deal aligns with the company’s strategy to grow through targeted acquisitions in defense and national security markets.
“The combination of Roke’s expertise and Landguard’s advanced technologies strengthens our sovereign U.K. portfolio,” Ord said.
The acquisition is set to enhance Roke’s international sales pipeline, which exceeds £300 million.
