LONDON: Abcam plc (Nasdaq: ABCM), a company that provides research tools for life sciences, agreed to be acquired by Danaher Corporation (NYSE: DHR) for $24.00 per share in cash on August 26, 2023. The acquisition will be done through a Court-approved arrangement under the Companies Act 2006, called the Scheme. The Scheme Circular, which explains the details of the Scheme, was sent to the Scheme Shareholders on October 5, 2023.
Abcam Plc reports that the High Court of Justice of England and Wales has given its approval for the Scheme today by issuing the Court Order.
The acquisition will be completed and the Scheme will take effect when the Court Order is delivered to the Registrar of Companies, which is expected to happen on December 6, 2023, as previously announced. The last day of trading Abcam ADSs on Nasdaq will be December 5, 2023, and the trading will be stopped by 8.00 a.m. (Eastern Time) on December 6, 2023.
