AMSTERDAM: GeoJunxion and Road Runner B.V. have agreed to sell all of GeoJunxion’s outstanding shares to Road Runner B.V. for EUR 4,670,795.80. The sale is expected to close on January 15, 2023.
The sale will result in GeoJunxion becoming a listed shell company without any liabilities. GeoJunxion will then be dissolved and liquidated, and its shareholders will receive a distribution of EUR 1.10 per share.
The board of directors of GeoJunxion believes that the sale is in the best interests of the company and its shareholders. The sale price represents a premium of approximately 24% to GeoJunxion’s closing price on October 24, 2023.
The sale is subject to approval by the shareholders of GeoJunxion at an extraordinary general meeting to be held on December 12, 2023.
