LONDON: Marlowe plc, the specialist services group focused on developing companies which assure safety and regulatory compliance, has acquired Black & Banton Occupational and Physical Health Limited for an initial consideration of £1.1 million, a financial news release noted.
Black & Banton, established in 2001, is headquartered in Gateshead, Tyne and Wear, and provides occupational health services to businesses in the North of England and Scotland.
For the year ended 30 April 2020, Black & Banton generated profit before tax of £0.4 million on revenues of £1.7 million. Net assets at 30 April 2020 were £0.9 million.
The total enterprise value of up to £1.5 million includes a contingent cash earn-out of up to £0.4 million. The acquisition will be funded from Marlowe’s existing cash resources.
