Environmental Clean Technologies will acquire Xenica Materials

MELBOURNE: Environmental Clean Technologies Ltd. (ECT) announced Wednesday it will acquire Xenica Materials Pty Ltd., securing an exclusive license from Rice University for a technology that could enable the commercial-scale production of MXenes, a family of advanced nanomaterials with potential applications in stealth technology and energy storage.

The acquisition, valued at 60 million ECT shares placed in a six-month voluntary escrow, grants ECT access to the Flash Joule Heating (FJH) process. The technology, developed at Rice University, uses high-current electrical pulses to rapidly synthesize materials, significantly reducing production time and cost compared to traditional chemical methods.

MXenes, discovered in 2011 at Drexel University, are two-dimensional materials composed of transition metal carbides and nitrides. Their atomic structure is highly tunable, giving them unique properties that include exceptional electrical conductivity, hydrophilicity, and low infrared emissivity. These characteristics make them suitable for applications in electromagnetic interference shielding, radar absorption, energy-dense supercapacitors, and advanced filtration systems.

Despite their potential, widespread commercial adoption of MXenes has been hindered by legacy manufacturing methods that are slow, expensive, and reliant on hazardous chemicals such as hydrofluoric acid. Traditional batch processing can take up to 72 hours and produce quantities of less than 100 grams. In contrast, ECT claims the FJH process can produce 250-gram batches in 30 to 90 minutes, with an estimated 80% reduction in processing costs.

“The bottleneck has always been production, not utility,” an ECT spokesperson said in a statement. “Demand signals from defense agencies and corporate programs have outpaced supply because the material has been so difficult and costly to make. This pathway removes that bottleneck.”

The initial commercial focus will be on the defense sector, where the company sees immediate, price-inelastic demand. The radar-absorbing materials market is projected to reach US$4.3 billion by 2033, with defense applications accounting for 47%. A single micron-thin MXene coating can provide radar and infrared camouflage, as well as thermal management, addressing multiple stealth requirements simultaneously. The company noted that it is in advanced licensing discussions with Drexel University to secure the rights for military end-use production.

To expedite the scale-up process, ECT has formed a 12-month research and development partnership with Metallium Limited (ASX:MTM). This agreement provides ECT with access to Metallium’s permitted FJH reactor facility at Gator Point, allowing the company to test commercial production potential while avoiding significant capital expenditure.

“We aren’t starting from scratch in a lab,” the spokesperson added. “We have immediate access to an established FJH reactor and the operational know-how to run it.”

The acquisition will be funded in part by a two-tranche capital raise of AU$12.0 million at AU$0.12 per share. The first tranche is expected to raise AU$10.6 million, with the second tranche subject to shareholder approval.

Proceeds will be allocated to the development of the FJH process for MXene production, existing technology development for per- and polyfluoroalkyl substances (PFAS) remediation, and working capital. Following the capital raise, the company’s post-placement ownership structure will consist of existing shareholders holding 69.2%, vendor shares representing 11.6%, and new placement shares accounting for 19.3%.

Beyond defense, ECT anticipates applications in consumer electronics, where MXenes could serve as replacements for brittle indium tin oxide in displays, and in the energy storage sector, where the materials offer high volumetric capacitance for supercapacitors and fast-charging batteries. The company cited US$40 million in U.S. Department of Energy funding for MXene research since 2023 as evidence of growing interest.

ECT stated the acquisition aligns with its strategy of building a diversified portfolio of disruptive environmental technologies. The company is also developing FJH for PFAS remediation and its proprietary COLDry drying and pelletising technology.

“Scalable, low-cost production does not merely capture this market,” the company stated. “It has the potential to expand it, because today’s forecasts are built on today’s supply constraints.”
