
SYDNEY: Codeifai Ltd. (ASX: CDE), a leading provider of AI-powered digital brand solutions, announced Monday it has entered into a binding agreement to acquire the QuantumAI Secure platform from Canadian fintech firm Credissential Inc. as part of a bold expansion into post-quantum security and encrypted digital infrastructure.
The acquisition, expected to close August 29 pending shareholder approval, will see Codeifai integrate the AntennaTransfer platform—an AI-driven, quantum-secure system for encrypted payments, file transfers and communications—into its existing QR code-based SaaS offerings.
According to Codeifai, the platform is underpinned by post-quantum cryptographic protocols and includes features such as quantum key distribution (QKD), AI-powered threat detection, and dynamically renewing encryption keys. It is designed to resist both classical and quantum computing attacks—an increasingly urgent need as quantum processors threaten to render traditional encryption obsolete.
“Codeifai’s acquisition of QuantumAI Secure represents a turning point in our roadmap toward becoming a next-generation digital infrastructure operator,” the company said in a statement.
The platform’s use of quantum-encrypted QR codes enables secure, decentralized payment and communication flows. Target sectors include fintech, healthcare, law, digital content, and government services—industries that demand future-proof data confidentiality and secure transfers.
The deal includes up to A$1.15 million in Codeifai shares issued at a discount to the volume-weighted average price, along with A$150,000 in cash or equivalent shares. One-third of the shares issued will be voluntarily escrowed for three to six months post-completion.
Codeifai said it plans a full rebrand of the platform and will roll out a phased go-to-market strategy, beginning with pilot projects in legal and microfinance sectors. Additional plans include strategic partnerships, direct enterprise sales, and thought leadership via global conferences and SEO-led content marketing.
The transaction aligns with Codeifai’s broader mission to deliver quantum-resilient trust infrastructure while enhancing its existing product suite. The company said that combining its QR code-based traceability solutions with the quantum-encryption capabilities of QuantumAI Secure will create a seamless trust layer for clients navigating the digital and physical worlds.
Oakley Capital Partners Pty Ltd. acted as corporate advisor on the acquisition. Shareholders are scheduled to meet on August 26 to vote on the deal.
