Dubber AI to acquire assets of Daisee Holdings
MELBOURNE: Dubber Corporation Limited, an ASX-listed conversation intelligence platform for communications service providers, announced Friday it has entered an agreement to acquire specified assets of Daisee Holdings Pty Ltd.
Daisee provides artificial intelligence services across voice recordings, supplying contact center AI solutions to some of Australia’s leading companies, with a focus on the insurance and financial sectors. The company has annual recurring revenue of just under A$1.7 million.
Under the asset sale agreement, Dubber will acquire customer contracts, intellectual property and technology assets, and selected supplier contracts. The company also expects to employ certain Daisee personnel as part of the transaction.
The maximum total consideration is A$1.25 million, comprising up to A$1.0 million in cash and A$250,000 in Dubber shares.
The cash portion will be paid in three tranches: A$400,000 upfront once all pre-completion conditions are satisfied, followed by up to two deferred payments of A$300,000 at the six- and twelve-month anniversaries of the agreement. Those deferred payments may be brought forward if certain conditions are met early.
The share consideration is payable at the 30-day volume-weighted average price 12 months from the date of the agreement, provided Dubber retains a minimum of A$1.7 million in annual recurring revenue as of that date. The share issuance is subject to shareholder approval at Dubber’s 2027 annual general meeting. If not approved, the amount will be paid in cash instead.
Dubber said the acquisition demonstrates the strength of its balance sheet and confirms its ability to execute on building out its growth platform.
The company has previously advised the market that it is broadening its revenue streams to include compliant and non-compliant call recording, payments processing technologies, Dubber AI Notes for call recording summaries and intelligent triggers, and a range of new AI products expected to be released in September and October 2026.
Dubber said acquiring Daisee’s technology strengthens its AI offering, enhances its intellectual property and creates an additional revenue stream focused on contact center markets, particularly in insurance and finance.
Daisee has developed its technology over nine years, building a mechanism to evaluate every conversation across numerous categories at human-level accuracy. The technology uses machine learning, natural language processing and other measures to isolate positive and negative attributes in each interaction. Its proprietary algorithms have been trained and measured across tens of millions of phone calls and can be deployed as pretrained models to new clients.
Dubber said the Daisee platform has developed significant predictive capability that can derive insights into customer intent and outcomes that are impossible to obtain from traditional customer relationship management or generative AI techniques. The company described the Daisee intellectual property as “deterministic” in nature, meaning results can be relied upon — a critical factor in regulatory industries. Daisee has been recognized as RegTech of the Year and InsureTech of the Year among its awards.
Dubber said there are significant opportunities to leverage Daisee’s technology for its clients, citing world-leading summarization techniques and the capacity to derive intelligence from call recordings.
The transaction is expected to complete in October 2026.
