MALVERN: Vertiseit AB (publ) announced Tuesday it has acquired Scala, a foundational brand in the digital signage industry, in a deal valued at approximately 265 million Swedish kronor ($31 million).
The acquisition adds about 85 million SEK in annual recurring revenue to Vertiseit, a platform company specializing in In-Store Experience Management. The transaction is expected to close in May 2026, subject to customary conditions.
Founded in Norway in 1987, Scala is widely recognized as the pioneer of the global digital signage industry, having deployed millions of software licenses worldwide. Its customers include many of the world’s leading retailers and brands. Scala has been part of the STRATACACHE Group since 2016 and is headquartered in Malvern, Pennsylvania, with operations across Europe and Asia.
“Scala is the most iconic software brand in our industry, with a strong global footprint, deep industry expertise, and long-standing relationships with many of the world’s leading retailers and brands,” said Johan Lind, CEO of Vertiseit. “As a former Scala partner, the opportunity to bring Scala back to a partner-first strategy will create significant value for the partner community.”
Following the transaction, Scala will continue as a strategic software offering within Dise, a Vertiseit subsidiary. Dise intends to accelerate Scala’s transition to a modern, device-agnostic SaaS model aligned with a partner-first go-to-market strategy.
The deal is expected to contribute positively to Vertiseit’s profitability during 2026, with synergies fully realized that same year. Profitability after synergies is projected to align with Vertiseit’s long-term Cash EBITDA target of 35%.
The purchase price will be financed through an expanded credit facility with Nordea Bank and proceeds from a directed share issue, details of which will be announced in a separate release.
“Scala has played an important role in shaping the digital signage industry over several decades,” said Sebastian Kryh, CEO of Dise. “Dise intends to accelerate Scala’s transition toward a modern SaaS-based and device-agnostic offering, fully aligned with a partner-first go-to-market strategy focused on openness, enablement, and long-term ecosystem growth.”
On a full-year basis, Scala is expected to contribute approximately 200 million SEK in total revenue, including 85 million SEK in annual recurring revenue from SaaS and maintenance contracts. The remainder comes from perpetual license, consulting, and systems sales.
