
PERTH – Australia’s IMDEX Ltd (ASX:IMD) said on Monday it will acquire Luxembourg-based Advanced Logic Technology (ALT) and its U.S. subsidiary Mount Sopris Instruments (MSI) for €55.8 million (A$98.9 million), strengthening its position in earth science sensors and geoscience software.
The deal, funded through cash reserves and existing debt facilities, is expected to close in the third quarter of fiscal 2026, subject to regulatory approvals. IMDEX said the acquisition will be earnings-per-share accretive in the first full year of ownership.
ALT, founded in 1993, is best known for its WellCAD software, widely regarded as the industry standard for borehole data analysis. MSI, established in 1951, manufactures downhole rock property sensors and geophysical logging equipment. Together, the companies hold leading positions in borehole televiewer technology.
IMDEX expects the transaction to add about A$10 million in revenue and A$2 million in normalised EBITDA in fiscal 2026. Goodwill of about A$60 million and acquired IP assets of A$30 million will be recognised.
Chief Executive Paul House said the acquisition was “a transformative step” that expands IMDEX’s subsurface intelligence platform and opens opportunities in mining, civil engineering, groundwater and energy markets.
ALT founder Jean Luc Deltombe and MSI CEO John Weerstra said IMDEX’s global reach would accelerate product development and broaden customer access.
The deal follows IMDEX’s July purchase of Earth Science Analytics AS and comes amid rising demand for richer rock characterisation using downhole data.
