MedAdvisor finalizes $42.35 million sale of ANZ operations to Jonas Software, CFO to depart

MedAdvisor expands addressable US market to include insurers, pharmaceutical companies, pharmacies, patients and GPs

MELBOURNE: MedAdvisor Limited (ASX: MDR) has completed the sale of its Australia and New Zealand (ANZ) business operations and associated intellectual property to Jonas Software AUS Pty Ltd in a deal valued at up to $42.35 million.

The transaction, finalized after market close on July 4, includes the transfer of MedAdvisor’s main Australian operating entity, MedAdvisor International Pty Ltd, its subsidiary Medicines Information Pty Ltd, and the company’s UK investment in Charac. The brand name “MedAdvisor” is also part of the acquisition.

Jonas Software, a subsidiary of Canadian-listed Constellation Software Inc. (TSX: CSU), paid $27 million upfront, with an additional $8 million held back pending post-completion adjustments. An uncapped earn-out component, estimated at $7.35 million, could bring the total transaction value to $42.35 million based on performance over the next three years.

As part of the deal, MedAdvisor’s U.S. operations will continue under the MedAdvisor Solutions brand via a royalty-free license agreement with Jonas. MedAdvisor Limited will remain listed on the Australian Securities Exchange.

The company also announced that Chief Financial Officer Ancila Desai will step down following her notice period, with her final day expected to be Oct. 3, 2025. A replacement CFO based in Australia is expected to be appointed shortly.

“This transition creates an opportunity for the ANZ business to continue its strong legacy of delivering innovative digital solutions to community pharmacies,” said CEO and Managing Director Rick Ratliff. “We are now sharpening our focus on the U.S. business.”

The sale marks the first phase of MedAdvisor’s strategic review, launched in November 2024. The company said it continues to evaluate options for its U.S. operations.
