LONDON: The Board of All Things Considered Group plc (AQSE: ATC), an independent music company, has announced the acquisition of majority interests in two prominent Brighton-based music venues, Concorde 2 and Volks, along with associated festival amenities company JTR Productions Ltd.

The acquisitions, made through ATC’s subsidiary Joy Entertainment Group Ltd, include an 80% stake in Concorde 2 and full ownership of JTR Productions Ltd, valued at approximately £2.49 million. Additionally, Joy has acquired 60% of the late-night venue Volks for around £400,000 in cash.

The strategic acquisitions are expected to enhance ATC’s cross-selling potential, providing end-to-end services to artists and strengthening the company’s presence in the live music and events space. Both Concorde 2 and Volks will now benefit from ATC’s music industry intelligence and support services.

The acquisitions, funded by a loan from an industry partner, signify ATC’s continued commitment to supporting and preserving independent music venues, enhancing its extensive music services platform, and creating better connections between artists and fans.

The transaction involves the acquisition of shares in Concorde 2 Limited and JTR Productions Limited from Christina Haynes, a former director of JTR Productions Ltd. This acquisition constitutes a related party transaction under the AQSE Growth Market Apex Rulebook. The directors of ATC Group plc have deemed the transaction fair and reasonable for the shareholders.

Based on unaudited management accounts, Concorde 2 Limited’s assets as of December 31, 2024, were approximately £640,000, with profits before tax of around £240,000. JTR Productions Limited’s assets were around £40,000, with profits before tax of about £150,000 for the same period.
