MELBOURNE: TALi Digital Ltd (ASX: TD1), a digital health company, has announced the acquisition of You Can Do It! Education (YCDI!), a social-emotional learning program, for $1.34 million. The deal, funded by TALi’s existing cash reserves, includes an upfront payment of $1.14 million and $200,000 in installments over 24 months.
YCDI!, an Australian-based program, focuses on improving social, emotional and academic outcomes for children aged 3 to 18. The program, aligned with the Australian curriculum, is recognized by Beyond Blue’s Be You initiative and has reached over 1 million students.
Mark Simari, TALi’s chair, said the acquisition complements the company’s ReadyAttentionGo! platform, enhancing its offerings in early childhood cognitive development. “This strengthens our position in the education sector and underscores our commitment to delivering innovative, accessible solutions,” Simari said.
TALi also announced an equity raising of up to $1.5 million, comprising a private placement and a non-renounceable entitlement offer. The funds will support commercialization efforts, joint operations with YCDI! and general working capital.
Additionally, TALi plans to reintegrate its technology following the voluntary administration of its former partner, Genius Learning Pty Ltd. The company estimates reintegration costs between $300,000 and $500,000.
The acquisition is expected to close on June 18, with the equity raising completed by July 11.
