LONDON: FRP Advisory Group, a leading business advisory firm, has acquired One Advisory Group in a deal valued at approximately £8.1 million, the company announced Monday.
The acquisition includes an initial consideration of £5.6 million and an additional £2.5 million for net assets acquired upon completion. The total sum is divided between £6.5 million in cash and £1.6 million in newly issued ordinary shares.
One Advisory, headquartered in London, provides financial reporting, transaction advisory, and governance services to more than 100 clients, primarily those listed on the London Stock Exchange.
Its 41-member team, including directors Matt Wood, Laura Nuttall, and Michael Butler, will join FRP, with the three executives assuming Partner roles.
“This acquisition further strengthens our national financial advisory business,” said Geoff Rowley, CEO of FRP Advisory. “We are pleased to welcome Matt, Laura, Michael, and the team to FRP; they share our values and will make a strong contribution as we continue to grow.”
The acquisition aligns with FRP’s strategy to drive sustainable growth by expanding its service offerings and geographic reach through targeted acquisitions. It marks FRP’s fourteenth acquisition since its March 2020 IPO.
One Advisory reported unaudited revenue of £4.7 million for the fiscal year ending March 31, with EBITDA of £1.1 million. Moving forward, the firm is expected to contribute approximately £4.9 million in annual revenue and £1.1 million in adjusted EBITDA to FRP, though financial-year results may vary depending on transaction timing.
“We are excited at the opportunities that being part of FRP presents for our team and clients,” said Wood, One Advisory’s founder. “We are confident that by building upon our shared values of quality and professionalism with FRP, we will accelerate our growth.”
Under the new structure, One Advisory will continue offering governance advisory services under its existing brand, while its financial reporting and transaction advisory unit will operate under the FRP umbrella.
