PARIS: Tonner Drones has signed a binding agreement to acquire Azur Drones, a French autonomous surveillance drone company, from Drone Volt in a cash-funded transaction that expands the company’s footprint in the defense and security sector.
The acquisition, announced Aug. 27, includes all of Azur Drones’ assets, technology and key personnel. The transaction is structured through a liquidation proceeding, leaving the acquired entity debt-free and restructured for low operating costs, according to a company statement.
Financial terms were not disclosed. Tonner Drones said the deal is funded entirely through available cash, without issuing new equity.
Azur Drones, known for its Skeyetech “Drone-in-a-Box” system, has received more than €50 million in historical research and development investment. The autonomous system, designed for perimeter surveillance and situational awareness at sensitive infrastructure and military sites, has completed over 62,000 autonomous beyond-visual-line-of-sight flights and is operational in 11 countries.
“This acquisition marks a major strategic milestone for Tonner Drones,” CEO Diede van den Ouden said in the announcement. “Acquired at a modest price and without dilution for shareholders, it minimizes our risk while enabling us to tap into the growth potential of the dynamic defense and drone markets.”
The Skeyetech system does not require an on-site remote pilot and integrates with major video management systems. It complies with cybersecurity standards certified by the French National Cybersecurity Agency.
Under the partnership agreement, Drone Volt holds exclusive worldwide commercial rights to market Azur Drones’ Drone-in-a-Box systems outside Europe, focusing on civilian sector clients. Azur Drones will continue serving its European customer base and lead defense-sector activities independently.
Tonner Drones will oversee corporate and financial functions, leveraging its restructuring expertise, while Azur Drones will focus on defense and government customers. The companies said the collaboration would combine Azur Drones’ robotics and automation capabilities with Drone Volt’s drone design and manufacturing expertise to expand the product line.
The transaction remains subject to court approval. Tonner Drones said its remaining cash position allows for continued exploration of additional acquisitions as it works toward profitability.
The global market for autonomous drone docking stations is estimated at approximately €1 billion in 2026 and projected to reach €6 billion to €7 billion by 2034-2035, with a compound annual growth rate of about 20%, according to the company.
