AB Dynamics acquires Michigan-based eMpulse Test Systems

LONDON: AB Dynamics plc, a designer and supplier of testing products for the global transport market, announced it has acquired eMpulse Test Systems LLC, a Michigan-based manufacturer of advanced servoelectric test equipment.

The initial cash consideration for the acquisition is $11 million (£8.1 million), funded from the group’s existing cash reserves. An additional payment of approximately $1.8 million is expected for working capital adjustments, with contingent consideration of up to $15 million payable over three years based on performance criteria.

eMpulse, headquartered in Zeeland, Michigan, supplies test systems for noise, vibration, harshness, structural and durability testing to the automotive industry. The company served a predominantly North American customer base and operated as a division of TUV SUD America before a management buyout in 2021.

AB Dynamics said the acquisition will expand its Testing Products division, particularly in laboratory testing equipment. The company views eMpulse’s product portfolio as highly complementary to its existing Suspension Parameter Measurement Machine.

The Group expects to generate commercial synergies by combining eMpulse’s products with its own global sales infrastructure. Executives said there are significant opportunities to cross-sell eMpulse’s products to AB Dynamics’ existing customers, particularly in international markets like Japan where eMpulse has historically had a limited presence.

For the year ended Dec. 31, 2025, eMpulse generated revenue of $5.5 million, down from $9.3 million in 2024, according to unaudited accounts. The company reported earnings before interest, tax, depreciation and amortization of $0.5 million and adjusted operating profit of $0.4 million.

AB Dynamics attributed the decline to market disruption caused by the introduction of global tariffs. However, the company said trading has recovered strongly during the first half of 2026 and is expected to show modest growth against the three-year average.

The Board expects the acquisition to be earnings enhancing for the Group in fiscal year 2027, with benefits increasing thereafter as sales synergies are realized.

eMpulse was acquired from its three shareholders, all of whom are expected to remain with the business to ensure ongoing delivery of growth expectations. Unaudited net assets at Dec. 31, 2025, were approximately $3 million.
